The NAME Foundation is a nonprofit charitable corporation established in 1996 under applicable provisions of the Georgia Nonprofit Corporation Code. It is organized and operated exclusively for public charitable, educational, and scientific uses and purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, in such ways as the Board of Trustees of the corporation shall determine at its discretion. In furtherance of such purposes, the corporation has full power and authority:
To distribute property for such charitable purposes in accordance with the terms of gifts, bequests, or devices to the corporation not inconsistent with its purposes, as set forth in the Articles of Incorporation, or in accordance with determinations made by the Board of Trustees pursuant to the Articles of Incorporation; and
To perform all other acts necessary or incidental to the above and to do whatever is deemed necessary, useful, advisable, or conducive, directly or indirectly, as determined by the Board of Trustees at its discretion, to carry out any of the purposes of the corporation, as set forth in these Articles of Incorporation, including the exercise of all other power and authority enjoyed by corporations generally by virtue of applicable provisions of Georgia law, including the Georgia Nonprofit Corporation Code (within and subject to the limitations of section 501(c)(3) of the Internal Revenue Code).
The corporation shall serve only such purposes and functions and shall engage only in such activities as are consonant with the purposes set forth in this Article Three of the Articles of Incorporation and as are exclusively charitable and are entitled to charitable status under section 501(c)(3) of the Internal Revenue Code.
GOVERNANCE OF THE FOUNDATION
Governance of the NAME Foundation is through an elected Board of Trustees (BoT). The Trustees are elected from the membership of the Foundation at the annual meeting held in conjunction with the Annual NAME Business meeting.
The Trustees are responsible for the supervision, control and direction of the management, affairs and property of the corporation Foundation, shall determine its policies or changes therein and shall actively determine its purposes and objectives and supervise the investment and disbursement of its funds.
SUPPORT TO FORENSIC PATHOLOGY
The purpose of the NAME Foundation is to support the forensic sciences through education and research, and to preserve the history of forensic pathology. Per the Bylaws, operating expenses, including disbursement of funds, cannot exceed the income of the Foundation. In 2010, the Foundation began to support both the Best Resident Paper and Poster presentations with awards of $500 each. At the annual meetings silent auctions are held which raise several thousand dollars yearly (over $13,000 in 2018) for the Foundation.
MEMBERSHIP IN THE FOUNDATION
Membership in the NAME Foundation is conferred to any individual or institution who makes the minimal annual contribution to the Foundation in the amount set by the Trustees. All non-institutional Foundation members will receive a free subscription to the Academic Forensic Pathology journal in 2019.
Contributions to the NAME Foundation are fully tax deductible as provided by section 501(c)(3) of the Internal Revenue Code. Effective 2010, the following minimal annual contributions qualify a contributor to membership in the Foundation:
Contributions may be made to a restricted fund used only for support of research and education or to an unrestricted fund which may also be utilized for building a future headquarters for NAME.
